Preparation of Corporate Minutes
Corporations are required to file with the Secretary of State their annual report by May 1, 2020. There is a fee, which is required to maintain the corporate existence. The Annual Report reflects the names of the offices and directors as well as the registered agent. To avoid liability for the business debts of a corporation, you must have shareholder minutes each year and directors’ minutes. The shareholders elect the directors. The directors elect who the officers of the corporation will be. The corporate minutes must be prepared each year. As a courtesy to my corporate clients, I send them a notice and forms to complete for their annual meeting and prepare their annual report and file it with the Secretary of State.
